Factual Admissions in China IP Litigation: Record What Was Actually Accepted

A statement may narrow a disputed fact without proving the whole infringement claim.

An opposing business may acknowledge that it sold a product while disputing infringement. A brand owner may recognise that a licence existed while disputing its duration or scope. These statements can narrow the evidence dispute, but only if their actual wording and limits are kept intact. Treating a partial acknowledgement as acceptance of the entire claim creates avoidable problems.

For an overseas rights holder in mainland Chinese civil IP litigation, a useful admissions record identifies the speaker, the procedural setting, the exact fact accepted and any qualification. It remains connected to the Chinese court record and the underlying documents. An internal English summary should not become a stronger statement than the one actually made.

Identify a fact, not a desired legal conclusion

Article 3 of the Supreme People's Court's Provisions on Evidence in Civil Litigation, revised in 2019, addresses statements or express acknowledgements of facts adverse to the party making them during litigation. The opposing party need not prove the admitted fact. The rule also covers express adverse factual acknowledgements in evidence exchange, questioning, investigation and written litigation materials.

Separate the fact from the legal consequence sought. Acknowledging that identified goods were sold does not necessarily acknowledge that the sign was used as a trademark, that the goods were unauthorised, or that the requested compensation follows. Those issues may need separate evidence and legal analysis.

For a hypothetical dispute, “we supplied these 200 units under the identified order” should not be recorded as “we admit all sales alleged by the claimant.” Check the product, quantity, dates, purchaser and any reference to authorisation. If the statement concerns only a particular shipment, preserve that boundary in the evidence chart.

Keep the statement and its qualifications together

Article 7 leaves the effect of a restricted or conditional acknowledgement to the court's assessment of the case as a whole. A sentence beginning “if these are our goods” has a different evidential position from an unqualified acknowledgement of their origin. Do not remove the condition when quoting or translating it.

Preserve the relevant pleading page, hearing record or evidence-exchange record with enough surrounding text to show the issue being discussed. Note whether the statement was corrected or clarified in the same session. Where a record appears incomplete, raise the discrepancy promptly through counsel rather than silently rewriting the record in a later submission.

  • Identify the precise factual proposition said to be admitted.
  • Record who made it and in which document or procedural event.
  • Preserve qualifications, translations and surrounding questions.
  • Link the proposition to the issue it would remove from dispute.
  • List the separate issues that still require evidence.

Check the speaker's procedural position

Article 5 provides that a litigation representative's admission is treated as the party's admission except for matters expressly excluded by the power of attorney. If the party is present and expressly denies the representative's admission, it is not treated as an admission. Review the actual authority and record before drawing a conclusion from a lawyer's statement.

Article 6 distinguishes ordinary joint litigation from necessary joint litigation. An admission by one co-party should not simply be attributed to every other defendant. In necessary joint litigation, express denials by other co-parties and their responses after judicial explanation and questioning affect the result under that provision.

A retailer, manufacturer and related trading company may have different roles and litigation positions. Keep a separate column for each party. A shared brand, address or corporate relationship does not by itself justify treating one person's statement as an admission on behalf of all entities.

Do not convert ordinary silence into an admission

Article 4 concerns a party that neither admits nor denies an adverse fact asserted by the other side and still fails to give a clear response after the judge explains and asks about it. The judicial explanation and questioning matter. An unanswered commercial email or an ignored warning letter should not be presented as automatically satisfying this litigation rule.

Keep pre-litigation correspondence in the file, but analyse its evidential value and context separately. Negotiation proposals, settlement discussions, customer-service messages and formal litigation statements should not be merged into one category merely because they mention the same product. This article does not assert a universal admissibility rule for settlement communications.

Check limits and any attempted withdrawal

Article 8 recognises exceptions to the admission rules and states that a court will not confirm an admitted fact inconsistent with facts already established. An admission is therefore not a licence to disregard known contrary material. Tell counsel about inconsistencies in the claimant's own records as well as those in the opponent's file.

Under Article 9, withdrawal before the end of court debate must be permitted where the opposing party agrees or where the admission resulted from coercion or a major misunderstanding. The court makes an oral or written ruling permitting withdrawal. A later change of position should be recorded and assessed, rather than assumed either automatically effective or impossible.

Article 63 requires truthful and complete statements and addresses inconsistencies with earlier accounts. Preparation should help the rights holder understand the records and distinguish knowledge from assumption. It should never be used to coach a misleading denial or conceal an unfavourable fact.

Use admissions to focus the remaining work

Maintain a short issue list showing the fact accepted, the proposed procedural effect and the evidence still needed. Retain independent corroboration where available; a statement's effect may remain disputed. An accepted supply quantity does not settle ownership, territorial scope, causation or damages by itself.
