Buying a Chinese Patent: Verify Registration Before Claiming Ownership

Signing, paying and receiving technical files do not establish the same facts as registration of a Chinese patent transfer.

A foreign company acquiring a Chinese patent may receive a signed agreement, payment confirmation and a folder of technical documents before the official ownership record changes. Those events should be tracked separately. If an infringement issue arises during the handover, the enforcement team needs to know who holds the right, what has been registered and which historical claims the transaction actually addresses.

Distinguish the contract from the transfer

Article 10 of the Patent Law of the People’s Republic of China provides for a written contract and registration of the assignment of a patent application right or patent right. The transfer takes effect on registration. The patent administration department also announces it. A contract date, payment date or submission receipt should therefore not be substituted for the registration date.

This distinction does not decide whether the parties have enforceable contractual obligations before registration. It identifies the separate event relevant to the statutory transfer. A transaction tracker should show agreement execution, any contractual conditions, filing, requests for corrections, registration and announcement as distinct entries, supported by the documents actually received.

Identify every right in the purchase

Start with a schedule containing the Chinese application or patent number, title, right type, current recorded applicant or owner and the precise interest being transferred. Verify the numbers against official records. Similar titles, foreign family members and translated portfolio names can conceal differences between assets. A foreign patent assignment should not be assumed to transfer a related Chinese right.

Check whether an entry concerns a pending application or an already granted patent. Preserve the current claims and relevant status information for each asset rather than relying solely on the original certificate. Where an agreement describes a portfolio generically, resolve the asset list before preparing an enforcement notice. The person signing for the seller also needs a documented basis to bind that entity.

Build the registration evidence file

Keep the executed agreement, identification documents, filing materials, agency instructions and official communications together. Ask the responsible filing team to distinguish submission from completion when reporting progress. If corrections are requested, retain the request, response and receipt so that the buyer can understand what remains outstanding without reconstructing the history from informal messages.

After completion, obtain the official evidence of the registered change and verify the resulting owner information. Record the effective registration date separately from the date a document was downloaded. Names in another language should be tied to the same legal entity through appropriate supporting records, rather than treated as interchangeable because they look commercially familiar.

Deal expressly with the handover period

Consider a hypothetical acquisition signed in one month with registration completed in the next. A suspicious product listing is discovered between those events. The team should preserve that listing and the relevant product evidence, then examine who can take each proposed step at that time. It should not simply describe the buyer as the registered patentee from the signature date.

Arrange cooperation for urgent decisions while the change is pending: who receives notices, who provides technical explanations and who may instruct counsel. Authority to act for another party is a separate issue from ownership. If a dispute already exists, disclose the transfer to the responsible advisers and assess the actual procedural position before changing parties or representations.

Specify what happens to historical disputes

The transfer record alone does not describe every contractual allocation of past claims, litigation costs or settlement proceeds. Review the acquisition agreement for the treatment of earlier infringement, existing proceedings, licences and releases. Avoid assuming that every historical monetary claim follows automatically from a current ownership search. The relevant dates and documents need their own analysis.

Preserve the seller’s evidence in its original form where possible. A handover inventory can identify test purchases, product samples, technical comparisons, correspondence and court documents, together with the holder and storage location of each item. Record gaps honestly. Receiving a spreadsheet of allegations is different from receiving the underlying evidence and the authority needed to use it.

Check the cross-border element before closing

Article 10 also requires transfers by Chinese entities or individuals to foreign recipients to comply with the relevant laws and administrative regulations. That provision should prompt a transaction-specific review; it is not a statement that every transfer requires the same approval. Identify the technology, parties and proposed arrangement early, then verify which formalities apply before promising a closing date.

The closing file should allow a reviewer to connect a defined Chinese right to the agreement, the registration event and the evidence needed for future enforcement. Keep unresolved conditions visible and assign responsibility for them. A completed commercial payment is not a substitute for that documentary chain.
