Changing a Trademark Owner’s Name or Address in China: Keep the Identity Trail Intact

A corporate update needs a documented connection between the old register entry and the present rights holder.

A foreign brand may change its corporate name, relocate its registered office or reorganise the companies that own its intellectual property. The China trademark record can then show a name or address that differs from a current corporate certificate. Before a complaint or transaction, establish what actually changed and preserve the documents connecting the entries.

This is a records-management problem as well as a filing task. Updating a corporate registry, an online-store account or an agent’s contact database does not by itself demonstrate that the Chinese trademark register has been updated. Keep the corporate change, the trademark application and the eventual official result as separate events.

First decide whether the legal person remains the same

Article 41 of the Trademark Law as amended in 2019 requires an application when a registered owner’s name, address or other registered particulars need changing. A transfer to another legal person follows a different route under Article 42. A group using the same trading name does not establish that two companies are the same entity.

For example, in a hypothetical internal reorganisation, a simple rename of an existing company and a sale of its trademark to a subsidiary require different analysis. Obtain the corporate registry records, transaction documents and company identifiers before selecting the filing. A change-of-name request should not be used to disguise an ownership transfer.

Prepare a short chronology showing the old legal name, new legal name, registration identifier, effective date and document establishing continuity. If several historical names appear, connect each step. A commercial announcement can explain the background, but it should not replace the official evidence of the corporate change.

Review the portfolio before selecting individual marks

Article 30 of the Trademark Law Implementing Regulations requires the registrant to change all its registered trademarks together when changing its name or address. If this is not done, the Trademark Office calls for correction within a specified period; failure to correct is treated as abandonment of the change application.

Start from a portfolio list rather than the single registration needed for tomorrow’s complaint. Compare the owner’s internal register with the public trademark records. Include older registrations, unfamiliar Chinese translations and marks administered by previous agents. Flag uncertain matches for review rather than silently excluding them.

Pending applications also need attention: Article 17 addresses changes to an applicant’s name, address, agent or document recipient. Separate pending applications from registered marks in the working list. Identify any international registrations designating China and confirm their applicable recording route instead of assuming that every portfolio entry uses the same domestic form.

  • Record each application or registration number and present owner entry.
  • Identify the corporate event and the proposed replacement particulars.
  • List pending deadlines, proceedings and responsible agents.
  • Track the filing, any correction notice and the official result separately.
  • Keep unresolved identity questions visible until supported by documents.

Build a consistent documentary bridge

For a name change, Article 30 also requires proof of the change issued by the relevant registration authority. Confirm which corporate document establishes the event in the owner’s jurisdiction. An old certificate and a new certificate may need an additional record that connects them; matching logos or similar addresses are not a substitute.

Compare the original-language names with the Chinese versions used in past trademark filings. Retain a translation table explaining spelling, punctuation and transliteration differences. Ask the responsible filing professional to confirm the current document and translation requirements for the particular route. Do not assume that every overseas document needs the same formalities.

An address change and a change of agent or domestic document recipient are different data fields. Check each relevant field expressly. Update the team’s working contact information promptly, while recording which official changes are still pending. This helps prevent a corporate move from also becoming a missed-notice problem.

Manage enforcement while the update is pending

If enforcement cannot wait, provide counsel with the existing registration, current corporate evidence, the continuity documents and the change-filing receipt. Describe the status accurately. A receipt confirms a filing event; it does not establish that approval has been granted.

Keep correspondence and authority documents consistent with the actual legal entity. Where an older licence or power of attorney uses the former name, assess whether a clarification or replacement is needed. Preserve the original document and its date rather than editing the signed version to make the records look uniform.

The effect of an identity discrepancy on a particular complaint or proceeding needs case-specific review. Neither automatic loss of the trademark nor automatic acceptance of every filing should be assumed. Identify the receiving body’s concern and answer it with the relevant documentary chain.

Close the task with the official result

Article 30 provides for a corresponding certificate and announcement when a change is approved, or a written notice explaining refusal. Retain that result and check the updated record against the requested details. Reconcile the portfolio row by row, including any application that required correction or remains unresolved.

This article describes the rules checked in October 2026. The 2026 revised Trademark Law takes effect on 1 January 2027 under Article 87; the particulars-change provision appears in Article 45. Recheck the applicable law and filing instructions for work crossing that date.

For a portfolio or enforcement review, contact Pan Jianxing with the relevant registration numbers, a non-confidential description of the corporate change and any approaching deadline. The first objective is to establish who owns the right and which records still need updating.
